Website in a Week Business Contract
This agreement (the "Agreement") is made between Bold and Beau LLC (the "Designer"), located at 2711 Kinsley Place Raleigh, NC 27616, and the individual or entity identified as the client on the Thrivecart Checkout (the "Client").
1. Purpose
1.1 The purpose of this Agreement is to provide brand and web design services to the Client.
2. Payment Terms
2.1 The total cost of the services is $3,750.
2.2 The Client may choose to pay in full or in four installments of $950.
2.3 The first payment is due at the time of contract, and the second payment is due at the end of service, prior to integrating the designs into the client's Showit account.
2.4 Payment can be made via the Thrivecart Checkout using the designated payment method.
3. Scope of Work
3.1 The scope of work includes the services that will be provided, the timeline, and the deliverables.
3.2 The services include:
A strategy call
Brand guide, including color palette & font selection
Simple/text-based logo design
Mobile-friendly design
An 8+ page website designed on Showit, including a homepage, about page, offer page(s), sales page(s), contact page, legal pages, and a 404 redirect page
2 revisions
Installation & launch
3.3 The timeline and detailed deliverables will be outlined in the Client portal in Notion.
4. Client Responsibilities
4.1 The Client is responsible for:
Providing necessary information and materials
Communicating with the Designer
Reviewing and approving the work
4.2 Failure to provide the necessary information or materials may result in a delay in the project timeline.
5. Intellectual Property Rights
5.1 The Client will own the final logo and website files but may not resell them.
5.2 The Designer retains the right to use the final product as part of their portfolio.
5.3 Any ideas, concepts, inventions, discoveries, or other intellectual property developed by the Designer during the provision of services under this Agreement shall remain the property of the Designer.
6. Confidentiality
6.1 The Designer will not disclose the Client's sensitive information or business practices.
6.2 The Designer will maintain the confidentiality of all information and materials provided by the Client and will not use such information or materials for any purpose other than the provision of services under this Agreement or within the bounds of section 10. Reviews and Use of Client Work for Case Studies and Marketing.
7. Termination
7.1 If the project is terminated early by the Client or Designer, 50% of the payment will be retained by the Designer.
7.2 All work that has been completed up to the agreement of termination will be given to the Client via the email they provided during checkout on Thrivecart.
7.3 The Client and Designer agree to cooperate in the transfer of any work product or other materials to the Client upon termination of this Agreement.
8. Warranties
8.1 The Designer warrants that the services provided under this Agreement will be performed in a professional and workmanlike manner.
8.2 The Designer does not warrant that the services provided will be error-free or that they will meet the Client's requirements.
9. Limitation of Liability
9.1 The Designer will not be liable for any damages incurred by the Client.
9.2 The Client agrees that the maximum liability of the Designer arising out of any kind of legal claim in any way connected to the services provided under this Agreement will not exceed the total fees paid by the Client.
10. Reviews and Use of Client Work for Case Studies and Marketing
10.1 As part of our commitment to quality and transparency, the Client agrees to provide a review of their experience. This review can be either written or in video format and must be completed within 1 week of receiving their final product.
10.2 Reviews should be honest and reflective of the Client's experience with our services. They can be posted on platforms such as TikTok, Instagram, a Blog, and any future platforms used by Bold and Beau LLC.
10.3 The Client also agrees to allow Bold and Beau LLC to use their website and brand design as part of case studies and other marketing materials. These case studies may include detailed information about the services provided, the challenges faced, and the solutions implemented.
10.4 Reviews and case studies from clients may be published on our website, social media, or in other marketing materials. The Client's identity will be kept confidential unless they explicitly grant permission for their identity to be disclosed.
10.5 Clients have the option to opt-out of providing a review or participating in case studies. Choosing to opt-out will not affect the quality or delivery of the services provided. We respect the Client's decision regarding their review and participation in case studies.
11. Dispute Resolution
11.1 Any disputes arising out of or relating to this Agreement shall be resolved through mediation.
12. Governing Law
12.1 This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina.
13. Signatures
13.1 The Client and Designer hereby execute this Agreement as of the date and time of the Thrivecart Checkout.
Attachments
The scope of work and payment schedule will be attached in the invoice as exhibits to this Agreement.
By clicking the Terms and Conditions checkbox on the Thrivecart Checkout, typing your name in the "Name" section under Contact Information and providing payment for services, you acknowledge that you have read and agree to all the terms and conditions in this Agreement. This is your digital signature and constitutes a legally binding agreement between you and Bold and Beau LLC.
